This Legal Centre brings together the terms, notices and policies that govern the Klocktech website, subscription service, integrations, AI-assisted features and related services. Klocktech is a business-to-business product for professional watch dealers. It is not offered to consumers.

Contracting entity during registration

Klocktech AB is under registration. Until Klocktech AB has been duly registered and a valid transfer of the relevant agreement has taken effect, Heritage Timepieces AB is the website operator, service provider, contracting party, invoice issuer and relevant data-protection entity, unless a signed document expressly states otherwise.

Registration of Klocktech AB alone does not change a customer's contracting party. Any future transfer will be made under the applicable agreement, with written notice and any consent required by law or contract.

Contract documents

For a subscribed customer, the Agreement consists only of the signed Order Form and documents that it expressly incorporates by title, version and date. The following order applies to an inconsistency, but only within each document's proper subject matter:

  1. the unmodified European Commission Standard Contractual Clauses, where used, prevail over every inconsistent agreement term;
  1. the Data Processing Agreement prevails for all processing of Customer Personal Data;
  1. the signed Order Form controls commercial terms and the subscribed Service, but cannot override items 1 or 2;
  1. a signed Statement of Work controls only the scope, deliverables and acceptance of the relevant Professional Services;
  1. a Service Level Agreement expressly incorporated by the Order Form controls the covered availability and support commitments;
  1. the B2B SaaS Subscription Terms; and
  1. only the versions expressly incorporated of the Acceptable Use Policy, AI Features and Image Integrity Policy, Third-Party Integration Terms, API and Developer Terms, Professional Services Terms, Beta and Early Access Terms, Intellectual Property and Content Policy, Data Retention and Deletion Policy, and Data Portability, Switching and Exit Policy.

The Legal Centre index, Company Information, Website Terms, Privacy Notice, Cookie Policy, Subprocessor Register, Security Overview, Vulnerability Disclosure Policy, Accessibility Statement, Marketing Communications Policy, DSA and Illegal Content Process, and Notices page are informational or separately applicable notices unless a signed document expressly incorporates them. Product documentation is operational guidance, not a contractual warranty or expansion of scope. A change to an Order Form, DPA, SCCs or signed Statement of Work requires the amendment process stated in that document or a writing signed by authorised representatives; the DPA and SCCs may not be displaced by a general priority clause.

Important product boundary

Klocktech is designed for inventory that a subscribing dealer owns, physically holds, or is expressly authorised to market on consignment or agency terms and supplies through its own upload, system or authenticated account. It never imports another dealer's feed, account, database or catalogue, even with that dealer's permission. Klocktech does not provide a function to scrape, crawl, discover, import, copy, monitor or expose another dealer's watches, listings, photographs, descriptions, serial numbers, prices or availability. Authenticated access to the subscribing dealer's own connected accounts and listings is permitted. Model-level reference data and non-identifiable, non-singlable aggregate market information may be used only where the licence and product safeguards permit it.
